These Terms govern your use of the FunnelLabs platform. Please read them carefully before registering or using the Service.

Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the FunnelLabs platform at funnellabs.tech (the "Service"), operated by the Northern School of Marketing ("FunnelLabs", "we", "us", "our"). By registering for or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.


1. Definitions

"Account" means the account you create to access the Service.

"Content" means any funnels, journey maps, personas, text, data, or other material you create, upload, or store using the Service.

"Subscription" means a paid plan (Practitioner or Educator) providing access to premium features.

"Free Plan" means the Student tier providing limited access to the Service at no charge.

"Intellectual Property Rights" means all patents, trade marks, copyright, database rights, design rights, and all other intellectual property rights, whether registered or unregistered.


2. Eligibility and Account Registration

You must be at least 13 years of age to use the Service. By registering, you represent and warrant that all information you provide is accurate, current, and complete. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your Account. You must notify us immediately at [email protected] if you suspect any unauthorised use of your Account.

We reserve the right to refuse registration, suspend, or terminate any Account at our sole discretion, with or without notice, including where we reasonably believe that a user has violated these Terms.


3. Subscription Plans and Fees

3.1 Plan Selection

The Service is offered on three tiers: the Free (Student) Plan, the Practitioner Plan, and the Educator Plan. Details of features and pricing are set out on our pricing page at funnellabs.tech. We reserve the right to modify the features included in any plan at any time with reasonable notice.

3.2 Billing

Subscription fees are billed in advance on a monthly or annual basis, as selected at the time of purchase. All fees are quoted in Pounds Sterling (GBP) and are inclusive of any applicable VAT unless stated otherwise.

3.3 Price Changes

We reserve the right to change subscription fees at any time. We will provide at least 30 days' written notice of any price increase to existing subscribers. Continued use of the Service after the effective date of a price change constitutes acceptance of the new fees.

3.4 No Refunds

All subscription fees are non-refundable. We do not provide refunds or credits for partial subscription periods, unused features, or if you choose to downgrade or cancel your subscription before the end of a billing period. This does not affect your statutory rights under UK consumer law where applicable.

3.5 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled. It is your responsibility to cancel your subscription before the renewal date if you do not wish to be charged for the next period. We are not liable for charges resulting from failure to cancel in time.

3.6 Failed Payments

If a payment fails, we may suspend access to premium features until payment is successfully processed. We reserve the right to terminate your Subscription if payment remains outstanding for more than 14 days.


4. Free Plan Limitations

The Free (Student) Plan is provided at our discretion and may be modified, restricted, or discontinued at any time without notice. We make no warranty that the Free Plan will remain available indefinitely. We reserve the right to limit the number of projects, funnels, or other resources available on the Free Plan at any time.


5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation.
  • Upload, transmit, or store any content that is unlawful, harmful, defamatory, obscene, or infringes any third party's Intellectual Property Rights.
  • Attempt to gain unauthorised access to any part of the Service or its underlying infrastructure.
  • Reverse engineer, decompile, or disassemble any part of the Service.
  • Use the Service to build a competing product or service.
  • Scrape, crawl, or extract data from the Service by automated means without our prior written consent.
  • Resell, sublicence, or otherwise transfer access to the Service to any third party without our prior written consent.

We reserve the right to investigate and take appropriate action, including suspension or termination of your Account, for any violation of this clause.


6. Intellectual Property

6.1 Our IP

The Service, including its software, design, text, graphics, and all other content created by FunnelLabs, is owned by or licensed to us and is protected by UK and international Intellectual Property Rights. Nothing in these Terms grants you any right to use our trade marks, logos, or brand features without our prior written consent.

6.2 Your Content

You retain ownership of all Content you create using the Service. By using the Service, you grant us a non-exclusive, royalty-free, worldwide licence to host, store, reproduce, and display your Content solely for the purpose of providing the Service to you. We will not use your Content for any other purpose without your consent.

6.3 Feedback

If you provide us with feedback, suggestions, or ideas regarding the Service ("Feedback"), you grant us a perpetual, irrevocable, royalty-free licence to use that Feedback for any purpose, including improving the Service, without any obligation to compensate you.


7. Disclaimers and Limitation of Liability

7.1 Service Provided "As Is"

The Service is provided on an "as is" and "as available" basis without any warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.

7.2 Educational Purpose

The Service is designed as an educational and planning tool. Any funnels, journey maps, or strategies created using the Service are for planning and learning purposes only. We make no representation that use of the Service will result in any particular business outcome, conversion rate improvement, or revenue increase.

7.3 Limitation of Liability

To the fullest extent permitted by applicable law, FunnelLabs and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, or business interruption, arising out of or in connection with your use of or inability to use the Service, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for any claim arising out of or in connection with these Terms or the Service shall not exceed the greater of (a) the total fees paid by you to FunnelLabs in the 12 months immediately preceding the event giving rise to the claim, or (b) £100.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.


8. Indemnification

You agree to indemnify, defend, and hold harmless FunnelLabs and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Service, your Content, or your violation of these Terms.


9. Third-Party Services

The Service may contain links to or integrations with third-party websites or services. We are not responsible for the content, privacy practices, or terms of any third-party services. Your use of third-party services is at your own risk and subject to those third parties' terms and conditions.


10. Modifications to the Service and Terms

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

We may update these Terms at any time. We will notify you of material changes by posting a notice on the platform or by email. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.


11. Termination

11.1 By You

You may terminate your Account at any time by contacting us at [email protected] or through your account settings. Termination does not entitle you to any refund of prepaid fees.

11.2 By Us

We may suspend or terminate your Account immediately and without notice if we reasonably believe you have violated these Terms, if required by law, or if we decide to discontinue the Service. Upon termination, your right to use the Service ceases immediately.

11.3 Effect of Termination

Upon termination, we may delete your Content after a 30-day grace period. You are responsible for exporting any Content you wish to retain before termination. We are not liable for any loss of Content following termination.


12. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of England and Wales. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, except where you are a consumer resident in Scotland or Northern Ireland, in which case the courts of your home jurisdiction shall also have jurisdiction.

13. General

Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and FunnelLabs with respect to the Service and supersede all prior agreements and understandings.

Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

Force Majeure. We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, war, terrorism, pandemic, or failure of third-party infrastructure.
